Sona BLW Precision Forgings, better known as Sona Comstar, has signed definitive agreements with DENSO Corporation to create two India joint ventures for electric and hybrid powertrain systems. The structure deliberately separates larger vehicles from two- and three-wheelers: DENSO will control the four-wheeler and larger-vehicle venture, while Sona Comstar will control the two- and three-wheeler venture. Both transactions remain subject to regulatory approvals and customary closing conditions.

What you need to know

  • Two ventures: one for four-wheelers and larger vehicles, another for two- and three-wheelers.

  • Different control: DENSO holds 51% in the larger-vehicle venture; Sona Comstar holds 51% in the smaller-vehicle venture.

  • Technology scope: inverters, traction motors, generators and e-axles for electric and hybrid applications.

  • Status: definitive agreements are signed, but closing still needs approvals.

How the two JV structure works

Vehicle segmentOwnership and controlPlanned India products
Four-wheelers and larger vehiclesDENSO 51%; Sona Comstar 49%High-voltage liquid-cooled traction inverters, traction motors and generators
Two- and three-wheelersSona Comstar 51%; DENSO 49%Air-cooled traction inverters, motors, generators and e-axles

The split gives each company management control where its existing capabilities and market position are most relevant. DENSO brings global high-voltage electrification technology and system knowledge, while Sona Comstar contributes Indian manufacturing, customer access and an established two- and three-wheeler electric traction business.

What the ₹1,750 crore enterprise value refers to

For the two- and three-wheeler venture, Sona Comstar will transfer its existing electric traction motor and controller business into a wholly owned subsidiary through a slump sale. DENSO, directly or through affiliates, will acquire 49% of that entity at an enterprise value of ₹1,750 crore. The number applies to that transferred business and should not be presented as the value of both joint ventures combined.

Why the partnership matters for India's EV supply chain

Local production of motors, inverters and e-axles can shorten supply chains and make engineering support more responsive for Indian vehicle programmes. The partnership also spans hybrids as well as battery-electric vehicles, which matters because Indian electrification is progressing at different speeds across two-wheelers, passenger cars and commercial vehicles.

For domestic automakers, a broader locally manufactured component stack could increase sourcing options and support platform-specific calibration. It does not, by itself, guarantee cheaper vehicles or announce any customer programme; pricing, capacity, plant location and launch schedules were not disclosed in the initial announcement.

What happens next

  1. Regulatory approvals and customary closing conditions must be completed.

  2. The two- and three-wheeler business transfer and DENSO's 49% investment must close.

  3. Each parent will license relevant intellectual property and know-how to its majority-owned venture in return for royalties.

  4. Manufacturing, capacity and customer-programme details may follow after closing.

FAQs

Are the Sona Comstar-DENSO joint ventures operational?

Not yet. Definitive agreements have been signed, but the transactions are still subject to regulatory approvals and closing conditions.

Who controls the four-wheeler venture?

DENSO will hold 51% and management control; Sona Comstar will retain 49%.

Who controls the two- and three-wheeler venture?

Sona Comstar will retain 51% and management control, while DENSO will acquire 49%.

The Sona Comstar-DENSO joint ventures create a clear segment-by-segment framework for local electric and hybrid powertrain manufacturing. The strategic promise is substantial, but the next meaningful details will be approvals, closing, capacity and customer nominations.
